SeenAndCited Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of the SeenAndCited platform, website, applications and related services ("Service").

The Service is operated by EU Systems Ltd ("SeenAndCited", "we", "our", or "us").

By accessing or using the Service you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use the Service.

SeenAndCited is intended for use by businesses, agencies, organisations, freelancers and professionals.

By creating an account you confirm that:

• You are at least 16 years old.
• You have the authority to enter into this agreement.
• Where required by law, you have obtained permission from a parent, guardian or authorised representative.
• You are using the Service for legitimate business or professional purposes.

You are responsible for:

• Maintaining accurate account information.
• Protecting your login credentials.
• All activity occurring under your account.

You must notify us immediately if you become aware of unauthorised access to your account.

Free trials are provided solely for evaluation purposes.

We reserve the right to:

• Limit trial access.
• Extend trial access.
• Refuse trial requests.
• Revoke trial access.

Additional trial requests may be considered on a case-by-case basis.

Attempting to obtain multiple free trials through deceptive means may result in suspension or termination of access.

SeenAndCited operates on a monthly subscription basis.

Subscriptions automatically renew unless cancelled before the next billing cycle.

Cancellation will take effect at the end of the current paid billing period.

No annual subscription commitments are currently offered.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, sales tax, cancellations and refunds are governed by the Paddle Checkout Buyer Terms (available at paddle.com/legal/checkout-buyer-terms) and the Paddle Refund Policy (available at paddle.com/legal/refund-policy), in addition to these Terms and our Refund Policy.

Subscription plans include usage limits as described on the pricing page.

Limits may include:

• Number of monitored sites.
• Monitoring probes.
• Team members.
• AI generation allowances.
• Platform features.

Where limits are reached, access to affected functionality may be restricted until the next billing period or until an upgraded plan is selected.

Agency plans may include additional usage charges as described on the pricing page.

Agency subscriptions include specified usage allowances.

Additional charges may apply for:

• Additional monitored sites.
• Probe usage exceeding included monthly allowances.

Where reasonably possible, additional charges will be displayed or communicated before being incurred.

We may modify subscription pricing from time to time.

Where pricing changes affect existing subscribers we will provide reasonable notice, typically not less than thirty (30) days.

Notifications may be provided through:

• Email.
• In-platform notifications.
• Account notices.

Continued use of the Service after pricing changes take effect constitutes acceptance of the updated pricing.

You retain ownership of content you create, upload or generate through your account.

This includes:

• Generated articles.
• Generated FAQs.
• Generated recommendations.
• Generated reports.
• Generated content drafts.

You grant us a limited licence to process such content solely for the purpose of providing the Service.

SeenAndCited may generate content, recommendations and publishing drafts.

All generated content is provided for assistance purposes only.

Users are solely responsible for:

• Reviewing content.
• Editing content where necessary.
• Verifying accuracy.
• Compliance with applicable laws.
• Publication decisions.

Publication through WordPress, Wix or other integrations remains the responsibility of the user.

SeenAndCited does not accept responsibility for content published by users.

Monitoring results represent observations made at specific points in time.

Results may vary based on:

• AI platform behaviour.
• Geographic location.
• User context.
• Timing.
• Third-party provider changes.

Monitoring data should be considered informational and not definitive.

Recommendations, opportunity scores, intent scores, visibility metrics, authority assessments and other analytical outputs are provided to assist decision-making.

These outputs:

• Are generated using proprietary methodologies.
• May change over time.
• Are not guarantees of future performance.

Users remain responsible for business decisions made using such information.

SeenAndCited does not guarantee:

• Search rankings.
• AI citations.
• AI recommendations.
• Traffic increases.
• Lead generation.
• Revenue growth.
• Business outcomes.

Results depend on numerous factors outside our control.

Users must not:

• Circumvent plan limits.
• Attempt to bypass monitoring restrictions.
• Deliberately generate excessive platform costs.
• Abuse automated generation features.
• Interfere with platform stability.

Where abnormal usage is identified we may contact the customer to discuss the activity and possible remediation.

If such activity continues after notice has been provided we may restrict, suspend or terminate access.

The Service relies on third-party providers including AI platforms, publishing platforms and infrastructure providers.

These may include:

• OpenAI
• Anthropic
• Google
• Perplexity
• WordPress
• Wix

and other providers from time to time.

We do not guarantee uninterrupted availability of any third-party integration or provider-dependent feature.

Features may change due to changes made by third-party providers.

AI platforms and related technologies frequently change their behaviour, interfaces, APIs, output formats and policies.

As a result, certain monitoring capabilities, metrics, recommendations or integrations may be modified, replaced or become unavailable.

We will make reasonable efforts to maintain functionality but cannot guarantee the continued availability of any specific provider, metric or integration.

We may suspend or terminate access where:

• Subscription payments fail.
• Fraud is suspected.
• Platform abuse occurs.
• Illegal activity is detected.
• These Terms are materially breached.

Where appropriate we will attempt to provide notice before suspension.

EU Systems Ltd uses Paddle.com Market Ltd and its affiliates ("Paddle") as its Merchant of Record for all online sales of SeenAndCited subscriptions and related services.

Acting as the Merchant of Record, Paddle is responsible for:

• Processing payments and authorising transactions.
• Issuing invoices and receipts.
• Collecting and remitting applicable sales tax, VAT and GST.
• Managing subscription billing and renewals.
• Handling refunds, chargebacks and related customer service inquiries on our behalf.

When you purchase a subscription you are contracting with EU Systems Ltd for the supply of the Service, and separately with Paddle for the payment transaction under the Paddle Checkout Buyer Terms.

Billing, payment and refund inquiries can be submitted directly through paddle.net or to the contact address shown in our Refund Policy, and will be routed to Paddle where appropriate.

All intellectual property rights relating to the SeenAndCited platform, software, branding, systems and methodologies remain the property of EU Systems Ltd or its licensors.

Nothing in these Terms transfers ownership of the platform to users.

To the maximum extent permitted by law, SeenAndCited shall not be liable for:

• Indirect losses.
• Consequential losses.
• Loss of profits.
• Loss of business opportunities.
• Loss of data.
• Loss arising from third-party provider failures.

Our total liability arising from any claim shall not exceed the subscription fees paid by the customer during the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability where such exclusion is prohibited by law.

These Terms are governed by the laws of England and Wales.

Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these Terms from time to time.

The latest version will always be available through the SeenAndCited website.

Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
